Artificial Intelligence
(AI) Policy

Artificial Intelligence (“AI” or “AI System”) means any computer system or software that can perform tasks that typically require human intelligence, including but not limited to visual perception, speech recognition, decision-making, and language translation, utilizing AI technology, tools, applications, or platforms used by the Firm in connection with providing legal services under this engagement.

Client acknowledges and agrees that the Firm may utilize AI in connection with providing legal services under this engagement, including legal research, document review, contract analysis, due diligence, and other tasks. The Firm will exercise reasonable care in selecting and using AI and will only use AI in a manner consistent with the Firm’s professional obligations. The Firm does not guarantee the accuracy, completeness, or reliability of any AI output and will apply professional judgment in reviewing and utilizing any such output.

The Firm will take reasonable measures to protect the confidentiality of Client information when using AI, consistent with the Firm’s existing confidentiality obligations. The Firm will not input or upload Client’s confidential information into any public or open-source AI Systems without Client’s prior written consent.

Upon Client’s request, the Firm will disclose which tasks or work product involved the use of AI. The Firm will promptly notify Client of any material errors or issues identified in AI output that may impact the legal services provided.

The Firm’s use of AI does not alter or expand the Firm’s existing professional liability obligations under Pennsylvania law. This AI clause shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania and pursuant to the Pennsylvania rules of professional conduct.
